3Com Corporation (NasdaqGS: COMS) shareholder litigation over alleged unfair takeover
On November 11, 2009, 3Com Corporation (“3Com” or the “Company”) announced that it agreed to sell the Company to Hewlett-
Packard Company ("HP") (NYSE: HPQ). Under the terms of the transaction, 3Com shareholders will receive $7.90 per share for
each 3Com share they own for a total transaction value of approximately $2.7 billion.
The investigation concerns whether the 3Com Board of Directors have breached their fiduciary duties to stockholders by failing to
adequately shop the Company before entering into this transaction and whether HP is underpaying for 3Com shares, thus
unlawfully harming 3Com stockholders.
